Fineline Holdings, Inc., (OTCBB: FNLH)
April 20th, 2005.

Fineline Holdings Inc. (Pink Sheets: FNLH)

Dear Readers,

Some businesses, publicly traded or otherwise, fail due to the “Field of Dreams Syndrome,” in a phrase, “If you build it they will come.” And with all due respect to the classic Kevin Costner film about a man who’s compelled to construct a baseball diamond in his Iowa cornfield so that legendary ghosts of the game may play again, that doesn’t usually work in business.

Instead, savvy company management and their teams of dreamers find the smoother path is to build it where they are, to find existing interest or affinity groups in need of related products and to target there.  For most operations this makes better sense than to try to create something from scratch -- and having to go through a brutal sales cycle of product recognition, branding, advertising and eventual sale.  Instead, just feed apples to the apple eaters.

So, today’s subject company, Fineline Holdings Inc. (Pink Sheets: FNLH), has done just that in the most creative of ways, crafting cartoon characters ready-made for merchandising, film and television programs that satisfy an existing need in the marketplace.  And unlike other creative teams, Fineline hasn’t hung its hopes on just one or two character groups.  Rather, it has created 22 separate character groups covering the spectrum of life and interest ranging from cuddly Kooties to satirical and humorous takes on the legal profession and sports.  There’s something for everyone and better yet, there’s something for interest groups that have not previously had creativity like this offered in their niche.

And before you take a tour of Fineline in the comprehensive and illustrative profile below, keep in mind that this isn’t just a “hope and a prayer” project.  Fineline is cutting deals with first-tier companies around the globe already.

So, take a moment to appreciate the opportunities that exist with this emerging company…and have a laugh or two along the way.

 About Fineline Holdings

a
Fineline Holdings creates original cartoon characters for licensing and film & television animation.  Fineline's Kent, Ohio-based studio is home to its team of creative graphics artists that develop original cartoon characters with an eye on current market trends as well as recognized names

While other companies that develop cartoon characters generally have one or two character groups of a particular genre, Fineline maintains a library of more than 200 copyrighted and trademarked cartoon characters in over 22 character groups covering the Internet, sports, satires, and educational markets for teens, 'tweens, kids and adults.  Fineline is a dynamic company that looks for existing, successful markets that lack quality cartoon characters, and develops characters specifically for those markets. While at this time, the public may not recognize Fineline's stable of characters visually, the names will sound quite familiar.  This is due to Fineline's marketing vision, to use popular words, names and terms to name their characters.

The Fineline character group Kooties™ has a name that has been in American pop culture for over 50 years; all of the Fineline sports characters have names that are recognized slang terms for positions, moves and plays; and the Fineline computing and Internet characters have names that are familiar to any computer user.  From crazy and outrageous to fun and family oriented, Fineline produces it all.

But Fineline isn't just about characters. The Company's real strength lies in its creativity. The huge Fineline library of characters is always growing and the creative directors at the Company are always on the lookout for new trends and markets that can benefit from the success a cartoon character can bring. Not only does Fineline produce its own in-house characters, it also generates revenues as a full-service artistic development service to outside companies.

Fineline management is seasoned in the business of cartoon characters and CEO, Robert V. Petry has placed characters on various products from Kelloggs, Wendi's Hamburgers, and Thom McCann Shoes. Among the many other accomplishments of Fineline's lead management, Mr. Petry was also responsible for placing a character in the logo of Daiwa Securities, the worlds biggest brokerage firm, that was part of the corporate brand for five years.

A BRIEF WORD ABOUT THE GROWTH OF THE CARTOON INDUSTRY

As Fineline CEO Robert V. Petry recently said, the cartoon market is "Blooming."

When consumers see names like Spidermanfrom Marvel comics or Superman from DC Comics or images like Hello Kitty from Sanrio or Nemo from Pixar, they not only identify with them, they spend money on them. While the world of characters and 'Toons' has steadily expanded from the days of Tugboat Willie through Roger Rabbit to the Incredibles, the central placement of cartoon characters throughout product marketing and branding around the world has exploded.

From print to merchandise to television animation, from motion pictures to corporate logos to cereal box promotions, cartoon characters have captured the hearts (and dollars) of people and children everywhere.  Licensing from one foreign market to another has become its own industry.

"Our characters are designed for the licensing and animation industries, which are both bigger and hotter than ever before."

FineLine's Moodies™ character group was picked up by 4Kids Entertainment, the agent for such major properties as Pokémon, Teenage Mutant Ninja Turtles and Yu-Gi-Oh!  4Kids Entertainment (NYSE KDE) will serve as the exclusive licensing agent covering Film, TV and merchandise licensing for the cartoon character group.

4Kids Entertainment To Serve As Film, Television
 And Licensing Agent For Moodies™

NEW YORK, February 22, 2005 – 4Kids Entertainment, Inc. (NYSE: KDE), licensing agent for major properties such as Pokémon, Teenage Mutant Ninja Turtles and Yu-Gi-Oh!, today announced it has signed an agreement with cartoon character creation studio Fineline Properties (NASD: FNLH.PK), a division of Fineline Holdings, to serve as the exclusive merchandise licensing agent for the Moodies™ cartoon character group. 4Kids also is being retained to represent the film and television rights for the Moodies character group.  The Moodies’ property is based on the concept of dolls containing heat sensors that enable a child’s mood to be reflected in the color of the doll as a result of the amount of body heat produced. If you are cold, the doll will turn blue and if you are hot, the doll will turn red. The toy rights are available for licensing.

Fineline Properties, represented by GeDo Designs, Inc., developed the Moodies as a positive character group for kids age 6 and under. The Moodies are simple, accessible metaphors for the emotions all people experience in their lives, at all ages, and can teach positive ways to work out these emotions with others.

“We are excited to serve as the exclusive licensing agent for the Moodies,” said Alfred R. Kahn, Chairman and Chief Executive Officer of 4Kids Entertainment. “These delightful, colorful figures enable children to learn to interact with others in a positive way. We look forward to working with Fineline Properties and building the Moodies brand.”

"The experience and expertise 4Kids brings to the Moodies licensing program is unparalleled in the industry, and we are very excited to be working together with 4Kids and have the Moodies brand alongside other phenomenally successful 4Kids properties," says Robert Petry, President of Fineline.
